Terms & Conditions
1) About BRAINRISE
This Website is operated by BRAINRISE ARCHITECTURE LTD, a company incorporated in the Republic of Cyprus under registration number HE475573, with its registered office at 14 Agamemnonos Street, City Home 61, 1041 Nicosia, Cyprus ("BRAINRISE", "we", "us", or "our"). Contact: legal@brainrise.ltd.
2) Scope of these Terms
These Terms & Conditions ("Terms") govern access to and use of the BRAINRISE website, including its content, links to Microsoft Bookings, and other publicly available Website features (the "Website").
By accessing or using the Website, you agree to these Terms. If you do not agree, you must not use the Website.
These Terms govern the Website only. The provision of advisory, development, integration, hosting, operation, support, or any other professional services — whether one-off or ongoing — is governed by the applicable proposal, order form, service agreement, or master framework agreement entered into with BRAINRISE.
Where a separate written agreement conflicts with these Terms, the separate agreement prevails in respect of the services it covers.
3) Nature of our business
BRAINRISE supports small and medium-sized businesses in winning customers and putting AI to work. Our services may include:
- sales strategy, sales process design, and pipeline development (SALES BLITZ);
- AI strategy, governance, and business-wide AI transformation (AI THUNDER);
- integration and implementation of software and AI solutions;
- deployment and operation of locally hosted or private AI models;
- advisory on AI governance and the EU AI Act.
BRAINRISE engagements are delivered on a continuous service basis under service agreements. Unless expressly stated in a separate written agreement, the Website itself does not constitute regulated advisory, a financial or payment service, a marketplace, or a dispute-resolution service.
4) Eligibility and authority
You may use the Website only if you are legally capable of entering into binding obligations.
Where you access or use the Website on behalf of a company or another organisation, you represent that you have authority to act on its behalf.
The Website is intended primarily for business and professional users. It is not directed at children.
5) Permitted use
You may use the Website for lawful purposes, including to:
- obtain information about BRAINRISE;
- contact BRAINRISE about potential services;
- request business information or a proposal;
- book a discovery meeting via Microsoft Bookings;
- access materials that BRAINRISE has made publicly available.
You are responsible for ensuring that information you provide through the Website is accurate and that you are entitled to provide it.
6) Prohibited use
You must not:
- use the Website unlawfully, fraudulently, or in a manner that infringes the rights of others;
- introduce malware, malicious code, or harmful material;
- attempt to gain unauthorised access to the Website, its infrastructure, or connected systems;
- interfere with the availability, integrity, or security of the Website;
- perform unauthorised vulnerability scanning, penetration testing, scraping, or automated extraction;
- impersonate any person or misrepresent your identity or authority;
- use Website content to develop or train a competing model or service, except where permitted by law or expressly authorised by BRAINRISE;
- remove copyright, trademark, or proprietary notices;
- submit confidential information, special categories of personal data, or third-party personal data by email or in booking questions, unless BRAINRISE has expressly requested it and an appropriate legal basis exists;
- use the Website in a manner that could damage BRAINRISE's systems, reputation, or legitimate business interests.
7) Intellectual property
The Website and its content — including text, graphics, logos, designs, software, documentation, demonstrations, model descriptions, and other materials — are owned by or licensed to BRAINRISE ARCHITECTURE LTD and are protected by intellectual-property laws.
BRAINRISE grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Website for legitimate informational and business purposes.
No intellectual-property rights are transferred to you. You may not reproduce, modify, distribute, publicly display, commercially exploit, reverse engineer, or create derivative works from Website content without BRAINRISE's prior written consent, except as expressly permitted by mandatory law.
"BRAINRISE" and the associated names, marks, and logos are trademarks or trade names of BRAINRISE or its licensors. No right to use them is granted by these Terms.
8) Information submitted to BRAINRISE
Information submitted through the Website is processed in accordance with our Privacy Policy.
You retain ownership of materials you submit. You grant BRAINRISE the limited rights reasonably necessary to review the material, respond to your request, and evaluate or provide the requested services.
Unless a confidentiality agreement or other written agreement applies, general enquiries submitted through the Website are not automatically treated as confidential. You should not submit source code, credentials, trade secrets, regulated data, or other highly confidential information by email or in booking questions.
9) Booking a meeting (Microsoft Bookings)
The Website links to the Microsoft Bookings service, which opens in a new tab, to allow you to schedule a discovery meeting with BRAINRISE. When you use this functionality, your booking data (name, email address, phone number if provided, company, your answers to the booking questions, time zone, and any additional details you provide) is processed by Microsoft in its role as our processor. Details on the processing are set out in Section 9 of the Privacy Policy.
10) AI content and technical information
Descriptions of AI systems, model capabilities, performance, security, compatibility, or potential use cases are provided for general information.
AI systems may produce probabilistic, incomplete, outdated, biased, or inaccurate results. Outputs may require verification and human review. Website information and demonstrations must not be relied upon as legal, financial, medical, regulatory, or other professional advice.
Specific performance levels, accuracy metrics, service levels, compliance commitments, and warranties apply only where expressly stated in a signed agreement.
Nothing on the Website constitutes a representation that a particular AI system is suitable for a high-risk, safety-critical, regulated, or otherwise consequential use.
The Website itself does not embed live, user-facing AI interaction widgets. Where BRAINRISE publishes AI-generated content on the Website (for example, illustrations or campaign material), such content is labelled in line with the transparency requirements of Regulation (EU) 2024/1689 (EU AI Act).
11) Third-party technology and links
The Website may refer or link to third-party websites, models, open-source components, platforms, or services (including Microsoft Bookings).
BRAINRISE does not control third-party services and is not responsible for their availability, content, security, licensing terms, or privacy practices. References to third parties do not constitute endorsement unless expressly stated.
Your use of third-party services may be governed by separate terms.
12) Privacy and cookies
BRAINRISE processes personal data in accordance with the Privacy Policy.
The Website uses strictly necessary cookies and browser storage to operate securely and to remember your privacy choice. With your consent, we also use Google Analytics 4 to understand how the Website is used. Google Analytics is not loaded before you consent. You can change or withdraw your choice at any time via "Cookie settings" in the footer. Details are set out in Section 10 of the Privacy Policy.
13) Website availability and security
BRAINRISE may modify, suspend, restrict, or discontinue all or part of the Website where reasonably necessary, including for maintenance, security, legal, or operational reasons.
BRAINRISE uses reasonable measures to protect the Website but does not warrant that it will always be available, uninterrupted, error-free, or free from harmful components.
You are responsible for maintaining appropriate security controls on your own devices, networks, and accounts.
14) Disclaimers
To the maximum extent permitted by applicable law, the Website and its publicly available content are provided on an "as available" / "as is" basis.
BRAINRISE excludes implied warranties relating to the Website, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy, except where such warranties cannot lawfully be excluded.
No Website content creates a binding offer, warranty, service level, regulatory assurance, or commitment unless expressly incorporated into a signed agreement.
15) Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence, where applicable.
Subject to the preceding paragraph, BRAINRISE will not be liable for:
- indirect or consequential loss;
- loss of profit, revenue, business, anticipated savings, goodwill, or opportunity;
- loss or corruption of data;
- business interruption;
- reliance on general Website information;
- third-party websites or services; or
- unauthorised or unlawful use of the Website.
Where you use the Website for business purposes, BRAINRISE's aggregate liability arising from or relating to the Website will not exceed EUR 1,000.
This limitation does not govern paid services supplied under a separate agreement. Liability for those services is governed by the applicable service agreement.
Nothing in these Terms affects mandatory rights available to a consumer under applicable law.
16) Indemnity for business users
Where you use the Website in the course of business, you will indemnify BRAINRISE against third-party claims, losses, and reasonable costs arising directly from:
- your unlawful use of the Website;
- material submitted by you that infringes third-party rights;
- your unauthorised security testing or interference with the Website; or
- a material breach of these Terms.
This section does not apply to the extent that a claim was caused by BRAINRISE.
17) Suspension and enforcement
BRAINRISE may restrict or block access where it reasonably believes that a user:
- has breached these Terms;
- presents a security or legal risk;
- is using the Website fraudulently or abusively; or
- is interfering with the Website or other users.
BRAINRISE may report suspected unlawful conduct to the competent authorities where legally permitted or required.
18) Changes to these Terms
BRAINRISE may amend these Terms to reflect Website, business, legal, or security changes. The current version is always published on the Website. Changes do not retroactively affect a separately signed customer agreement.
19) Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus.
Where you use the Website in the course of business, the courts of the Republic of Cyprus (Nicosia) will have exclusive jurisdiction.
Where you are a consumer, this provision does not deprive you of mandatory protections or jurisdictional rights available under the law of your habitual residence.
20) General provisions
If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
A failure to enforce a provision is not a waiver of that provision.
You may not assign your rights under these Terms without BRAINRISE's prior written consent. BRAINRISE may assign its rights and obligations as part of a corporate reorganisation, merger, financing, or transfer of the relevant business, subject to applicable law.
These Terms do not create a partnership, agency, fiduciary relationship, or employment relationship.
